About Logan Energy

Logan Energy was formed in 2023 as a spin-out of early-stage Montney assets from Spartan Delta. It produces natural gas and liquids in north-west Alberta and north-east British Columbia. According to the company, it produced a record 18,775 barrels of oil equivalent per day in the third quarter of 2026, based on field estimates, and expects more than 22,000 barrels of oil equivalent per day in the fourth quarter. It holds 415 net sections of Montney land.

The Logan Oil spin-out

Before the deal closes, Logan will spin out Logan Oil, a new company that will hold oil assets that are not part of the acquisition. These include the Sawn Lake heavy oil project and assets in the Clearwater and Charlie Lake areas in Alberta. Logan Oil plans to raise about C$120 million in new financing and has applied to list on the TSX Venture Exchange.

About Ovintiv

Ovintiv is a North American oil and natural gas producer with operations in the United States and Canada, including in the Montney formation. The acquisition adds Logan's Montney acreage to Ovintiv's existing Canadian business.

What the Montney is

The Montney is a large geological formation that stretches across parts of Alberta and British Columbia. It contains natural gas and natural gas liquids, such as condensate, and is one of the most active areas for drilling in Canada. Natural gas from the region can be supplied to North American markets and, increasingly, to liquefied natural gas export projects on Canada's west coast.

How the process started

According to Logan, it received an unsolicited expression of interest in July 2026 and began a confidential review of strategic options in August. National Bank Financial gave an opinion that the consideration is fair, from a financial point of view, to Logan shareholders other than its directors and officers.

Consolidation in energy

Oil and gas producers often buy smaller companies to add land, production and drilling locations close to their existing operations. Larger producers can sometimes develop these assets at lower cost because they share infrastructure and services.

What to watch

Key items include the Logan shareholder meeting, expected around January 4, 2027, regulatory approvals, the listing of Logan Oil and the completion of the deal.

Risks and uncertainties

Acquisitions may not be completed on the expected timetable or at all. Production and drilling plans can change, and natural gas prices can be volatile. Energy shares can be volatile.
